Climate United will use funding from the EPA under the Inflation Reduction Act to rapidly deploy low- and zero-emission products, technologies, and services to all American communities in order to (1) reduce GHG emissions and other forms of air pollutants; (2) bring direct benefits to American communities in the form of energy security, energy savings, cleaner air, and quality jobs; and (3) transform the capital markets so they can drive an equitable clean energy transition at scale. Job Description:

Climate United Fund, a 501(c)(3) nonprofit (“Climate United”), is seeking an experienced finance attorney with specialization in energy projects join our dynamic legal team.

The role requires someone with strong technical expertise, exceptional judgment and attention to detail, and a passionate commitment to the mission and integrity of the organization. Key Responsibilities:

  • Draft, review and/or comment on loan documents, loan participation agreements, security agreements, intercreditor and subordination agreements, confidentiality agreements and other contracts.

  • Engage and assist on general corporate governance matters including developing and implementing internal compliance policies, advising on board decisions and developing materials to ensure good corporate governance, and advising on general ethics and compliance issues.

  • Engage and assist on government contracts compliance; FOIA requests, internal compliance and procurement.

  • Develop and update internal legal form documents and policies.

  • Manage and oversee external legal counsel.

Required Qualifications:

  • JD from an accredited law school. Active bar membership in one or more states.

  • 7+ years of relevant legal experience (with significant law firm experience) in banking and finance; domestic energy transactions (ideally in smaller scale clean energy projects in distributed power generation, building decarbonization and electric transportation); community development finance; corporate governance and/or corporate law.

  • A demonstrated commitment and interest in climate solutions and impact investing.

  • Strong attention to detail, organization and follow-through.

  • Demonstrated ability to work and manage projects independently.

  • Willingness to entertain new ideas and excitement in crafting creative solutions to novel problems.

  • Enjoys working in a team-oriented environment with exceptional communication and interpersonal skills.

  • Occasional travel.

Preferred Qualification:

A demonstrated commitment to addressing the climate crisis, accelerating the clean energy transition, and/or helping low-income and disadvantaged communities.
